Notice of Motions

As related to the Scholarship Trust Fund Committee
under Part I of the BCCGC Constitution

Submitted at the October 15, 2016 Fall Meeting of The BC Council of Garden Clubs

The following are the sections that will require changes based on the proposed changes to the Scholarship Trust Committee’s mandate.

Should Amendment #6 be approved, Amendments 7, 8 and 9 will be presented in order to reflect the change to related sections of the Constitution.

Notice of Motion #6:

Replacing Item 2 referencing the election of members of the Scholarship Trust Fund Committee with a clause to establish the Scholarship Fund Committee as a standing committee.

ARTICLE 3 ELECTIONS AND APPOINTMENT OF OFFICERS

Current:

  1. Each year one person shall be elected by the accredited delegates at the AGM to the position of B. C. Council of Garden Clubs’ Scholarship Trust Fund as a Trustee for a term of three (3) years or longer if mutually acceptable.

Proposed Amendment:

  1. The Scholarship Fund Committee shall be a standing committee comprised of three elected
    1. One member of the committee shall be elected each year at the Council’s Annual General Meeting for a term of three
    2. After each AGM the committee members will designate a Chair who shall be a member of Executive Board

 

Notice of Motion #7:

Amending the number of elected officers and amending the name of the committee. This change will need to be made should Amendment #6 be passed.

ARTICLE 3 ELECTIONS AND APPOINTMENT OF OFFICERS

Current:

  1. There shall be six (6) elected officers (“Officers”), these being the President, Secretary, Treasurer, First Vice President, Second Vice President, Communications Coordinator. These six (6) positions plus the Chairperson of the Scholarship Trust Fund (STF) and the immediate Past President constitute the Executive who all have voting privileges.

Proposed Amendment:

  1. There shall be seven (7) elected officers (“Officers”), these being the President, Secretary, Treasurer, First Vice President, Second Vice President, Communications Coordinator, the designated Chair of the Scholarship Fund Committee (SFC) and the immediate Past President constitute the Executive who all have voting privileges.

 

Notice of Motion #8:

Amending Part One, Article 2, 1 (a) to remove reference to Part Two of the Constitution which is no longer applicable. This change will need to be made should Amendment #7 be passed.

PART ONE CONSTITUTION

Current:

ARTICLE 2 – PURPOSES

I .         The purposes of the Council are:

  • to provide and manage the scholarship and bursary fund set out in Part Two of this Constitution (“Scholarship Trust Fund”) which shall provide assistance to students to further their education in horticulture;

Proposed Amendment:

(a) to provide and manage a scholarship and bursary fund which shall provide assistance to students to further their education in horticulture;

Notice of Motion #9:

removing Part Two Scholarship Trust Fund in its entirety from the Constitution of the BC Council of Garden Clubs.

Proposed Amendment:

It is moved that the section named “Part Two Scholarship Trust Fund” be removed from the Constitution of the BC Council of Garden Clubs.

Rationale for changes

The purpose of these amendments is to bring the Scholarship Fund back into the Council’s Constitution.

The Scholarship Trust had essentially been operating under its own constitution to comply with Revenue Canada requirements for a registered charitable organization. With the funds now in the capable hands of the Vancity Community Foundation, the need for the committee to continue as a charitable organization no longer exists. The committee has no bank account, does not receive donations directly, issues no receipts and distributes no funds. It does direct the Vancity Community Foundation on the distribution of the awards. The committee has basically ceased operation as a registered charity several years ago.
